1. Scope of Work

ABC Company (the "Company") agrees to provide the services outlined in the signed Quote/Estimate. Any additional work requested by the Client or discovered during the project (e.g., hidden structural decay or unforeseen obstructions) will require a signed Change Order and may result in additional fees.

2. Access and Site Conditions

The Client shall provide ABC Company crews with access to the property and the specific work areas during agreed-upon hours.
  • Exterior Work: Client must ensure the perimeter is clear of debris, outdoor furniture, and delicate landscaping. While we take every precaution, the Company is not responsible for damage to plants, shrubs, or sod within the immediate excavation zone.
  • Interior Work: Client is responsible for moving furniture, appliances, and valuables away from the work area. The Company is not liable for damage to items left in the work zone.

3. Payment Terms

  • Deposit: A deposit (as specified in the Quote) is required to secure the project date.
  • Progress/Final Payments: Payment is due upon completion of the milestones outlined in the contract.
  • Late Payments: Outstanding balances beyond 30 days are subject to an interest charge of 2% per month.
  • Direct Insurance Billing: If the Company is working directly with an insurance provider, the Client remains responsible for any deductible and any portion of the invoice denied by the insurer.

4. The ABC Company Lifetime Waterproofing Warranty

Our "Lifetime Warranty" applies to specific waterproofing services as explicitly stated on the final invoice.
  • Coverage: This warranty covers the repair of recurring water leaks in the specific areas treated by ABC Company
  • Transferability: This warranty is transferable to future homeowners, provided the Company is notified of the title transfer within 30 days of closing.
  • Exclusions: The warranty is void if the foundation is altered by a third party, if damage is caused by seismic activity (earthquakes), or if the Client fails to maintain proper exterior grading or sump pump functionality.

5. Sump Pumps and Battery Backups

Sump pumps are mechanical devices with a finite lifespan. While ABC Company installs high-quality units, the Company is not responsible for basement flooding caused by mechanical pump failure, municipal power outages (where no battery backup was installed), or lack of routine maintenance by the Client.

6. Utilities and Underground Obstructions

The Company will coordinate with local utility "Call Before You Dig" services for exterior excavation. However, the Company is not responsible for damage to private underground lines not marked by public utilities (e.g., private lighting, sprinklers, or pool lines) unless the Client provides a detailed map of such lines prior to excavation.

7. Mold and Hazardous Materials

If significant mold or hazardous materials (such as asbestos) are discovered during the project that were not previously disclosed, the Company reserves the right to pause work until the site is remediated by a certified specialist at the Client's expense.

8. Limitation of Liability

ABC Company’s total liability for any claim arising out of this agreement shall not exceed the total price paid for the services rendered. The Company is not liable for "consequential damages" such as lost wages, hotel costs, or emotional distress.

9. Governing Law

This agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada.

10. Changes to These Terms

ABC Company reserves the right to update or modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting on this page.
